Los Real Estate Investment Trust (REIT), equivalentes a la figura española de las Sociedades Anónimas Cotizadas de Inversión en el Mercado Inmobiliario (SOCIMI), son instrumentos de inversión colectiva cuyo propósito es la tenencia directa o indirecta de activos inmobiliarios para el alquiler. El incremento de las salidas a bolsa de estos vehículos de inversión en Europa en los últimos años ha permitido el estudio de estos mercados cuya importancia y tamaño ha crecido notablemente. En España, la primera SOCIMI se incorporó al mercado a finales de 2013 y desde ese momento se ha producido un rápido crecimiento en el número y tamaño de estas sociedades. A lo largo de esta Tesis Doctoral se ha analizado diversos aspectos sobre las SOCIMI incorporadas al Mercado Alternativo Bursátil (actualmente denominado BME Growth), mercado español que aglutina el mayor número de estas compañías. La presente Tesis Doctoral engloba tres trabajos empíricos que versan sobre la determinación de la infravaloración en el momento de la incorporación al mercado (Essay I), el comportamiento de los precios tras la salida al mercado (Essay II) y el impacto de la pandemia del COVID-19 durante la primera ola (Essay III). A pesar de que el comportamiento tras las salidas a bolsa ha sido ampliamente analizado para todo tipo de compañías (de manera más reducida en los REIT dada su más reciente popularización), consideramos relevante indagar tanto sobre el comportamiento del precio en los momentos iniciales como en su evolución posterior dada la singularidad de las operaciones producidas para la salida a bolsa en el mercado analizado (salida directa o listing), el diseño del mercado y las peculiaridades del mismo y la etapa estudiada que coincide con la creación y crecimiento del mercado. La evidencia empírica obtenida en el conjunto de los tres trabajos sugiere la existencia de infravaloración en la salida al mercado y de rendimientos anormales negativos y significativos tras dicha incorporación, así como el fuerte impacto del COVID-19 en la performance operativa de las SOCIMI, no siendo así en el caso del impacto del COVID-19 en los precios de mercado. Los resultados obtenidos difieren de la evidencia en otros mercados, estando condicionados, principalmente, por las características diferenciadoras del mercado analizado, y, en menor medida, por las características específicas de las SOCIMI. Así, el mecanismo de fijación del precio de referencia para el inicio de la contratación, el tipo de operación realizada para la incorporación, la reducida liquidez del mercado y la composición del capital de estas sociedades son particularmente relevantes en los resultados obtenidos en todos los análisis realizados. La importancia del sector inmobiliario en la estructura económica de España, el fuerte interés de los inversores internacionales en este sector y el relevante peso de las SOCIMI españolas a nivel europeo ponen en valor la relevancia de los resultados obtenidos a lo largo de la presente Tesis Doctoral.

Real Estate Investment Trusts (REITs), equivalent to the Spanish figure of Sociedades Anónimas Cotizadas de Inversión en el Mercado Inmobiliario (SOCIMI), are collective investment vehicles whose purpose is the direct or indirect holding of real estate assets for rental purposes. The increase in the number of flotations of these investment vehicles in Europe in recent years has made it possible to study these markets, whose relevance and size has grown considerably. In Spain, the first SOCIMI went public at the end of 2013 and since then there has been a rapid growth in the number and size of these companies. Over the course of this Doctoral Thesis, various aspects of SOCIMIs incorporated into the Mercado Alternativo Bursátil (currently BME Growth) the Spanish market that includes the largest number of these sort of companies, have been analyzed. This Doctoral Thesis includes three empirical studies on the determination of the underpricing at the moment of going public (Essay I), the aftermarket performance (Essay II) and the impact of the COVID-19 pandemic during the first wave (Essay III). Although the performance after going public has been extensively analyzed for all types of companies (to a lesser extent in REITs given their more recent popularization), we consider relevant to investigate both the price performance at the initial moments and its subsequent evolution given the uniqueness of the operations produced for the flotation in the analyzed market (direct listing), the design of the market and its peculiarities, and the stage studied which coincides with the creation and growth of the market. The empirical evidence obtained in the three studies as a whole suggests the existence of underpricing in the flotation and aftermarket underperformance, as well as a significant impact of COVID-19 on the operating performance of SOCIMIs but not on market prices. The results obtained differ from the international evidence and are mainly conditioned by the differentiating characteristics of the market analyzed and, to a lesser extent, by the specific characteristics of SOCIMIs. Thus, the mechanism for setting the reference price for the start of trading, the type of transaction carried out for the incorporation, the reduced liquidity of the market and the composition of the capital of these companies are particularly relevant in the results obtained in all the analyses carried out. The importance of the real estate sector in the economic structure of Spain, the strong interest of international investors in this sector , the significant weight of Spanish REITs in Europe and the increase in the number of stock market flotations of these companies highlight the relevance of the results obtained throughout this Doctoral Thesis.
